End-User License Agreement

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you ("User", "You") and Function Timetrack ("Company", "We", "Us") for the use of the Function Timetrack software application ("Software", "Application", "Service").

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install, access, or use the Software.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or business time tracking, financial management, and invoicing purposes.

3. Restrictions

You agree not to:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, loan, sell, or distribute the Software
• Remove or alter any proprietary notices or labels on the Software
• Use the Software for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the Software or related systems
• Use the Software to transmit viruses, malware, or harmful code

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

5. Data and Privacy

Your use of the Software is subject to our Privacy Policy. By using the Software, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

6. Third-Party Integrations

The Software may integrate with third-party services such as QuickBooks Online, Google OAuth, and other platforms. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, functionality, or security of third-party services.

7. Intellectual Property

The Software, including all content, features, and functionality, is owned by Function Timetrack and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any rights to our trademarks or service marks.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Software will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any calculations, reports, or data
• Warranties regarding compliance with union contracts, labor laws, or tax regulations

You acknowledge that you are solely responsible for verifying the accuracy of all time tracking data, calculations, and financial reports generated by the Software.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FUNCTION TIMETRACK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claims arising out of this Agreement shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

This Agreement is effective until terminated. We may terminate or suspend your access to the Software at any time, with or without cause or notice. You may terminate this Agreement by discontinuing use of the Software and deleting your account. Upon termination, all rights granted to you under this Agreement will immediately cease.

11. Changes to Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on this page and updating the "Last Updated" date. Your continued use of the Software after such changes constitutes acceptance of the modified Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts located in Los Angeles County, California.
